· We believe that our first responsibility is to truthfully represent our vehicles.

· We will follow the “golden rule” when we list a vehicle and we will not list something of a quality we would not purchase ourselves.

· We understand and agree that the vehicle must have a saleable title in hand at the time of listing. If the dealer does not have possession of the title, the vehicle is ineligible for listing.

· We understand that only vehicles still covered by factory warranty or an existing transferable extended warranty/service contract (such as a certified pre-owned vehicle) are eligible to participate in the program.

· We understand that Trusted Dealer Net’s online auction is for the wholesale of vehicles exclusively to members of Trusted Dealer Net.

· We agree not to over-inflate our listings unnecessarily, but to give honest and fair market pricing.

· We agree to fully disclose any and all damages or peculiarities concerning the vehicles we are selling and will work with the buyer to do whatever it takes to correct any issues that arise from the result of our non-disclosure even if it results in a repurchase of the vehicle.

· We understand that if there are any blatant misrepresentations presented, that we forfeit our rights to participate in Trusted Dealer Net.

· We understand that Trusted Dealer Net members who buy a vehicle we list has 10 business days in which to inspect the vehicle for damages and may request a full refund if significant damages are found which were not disclosed at the time of listing.

· We understand that if the purchaser claims that a vehicle has undisclosed damages in excess of $400 that an independent third party inspection of the vehicle will occur to verify said damages. After the inspection is completed to confirm the damages, the seller will be presented with an option to either repair the damages to the buyer’s satisfaction, OR refund the full purchase price of the vehicle. In the event of a repurchase, the seller would be responsible for fully refunding the price of the vehicle and any transportation costs, title fees, auction fees and inspection fees associated with the transaction.

· We believe that this network of trusted dealers, who all agree with this code of conduct, are held to a high standard, are honest, and trustworthy and therefore we believe there is no need for arbitration of disputes.  We can and will work together to resolve issues, should they arise, in a competent and professional manner to the reasonable satisfaction of all parties.  If there is an issue that the buying and selling dealer are unable to mutually resolve, Trusted Dealer Net’s administrative staff will be called upon for a final resolution and we agree to abide by that decision without dispute or further recourse. Should this occur, Trusted Dealer Net will charge each party a non-refundable fee of $250.

· We agree that if a listed vehicle sells retail at any time during the auction listing period, that it should be immediately removed from the auction site. If the vehicle is already sold (outside the auction process) at the time the auction closes, there are qualifying bids, and the seller has not ended the auction early, the seller is subject to $500 penalty payable to Trusted Dealer Net. Of this fee, half goes to the high bidder of the auction as an inconvenience fee, and half goes to Trusted Dealer Net for fraudulent use of services. In addition, a negative feedback point will be added to the seller’s account.

· We understand that a feedback point system is in place. Accumulated negative feedback points will result in mandatory vehicle inspections performed by an independent third party of Trusted Dealer Net’s choosing prior to listing of any vehicles.  If there are three negative feedback points accumulated, the administrative staff of Trusted Dealer Net will review the reasons for the points and if the reasons are found to be valid, the three strike rule will be implemented. The dealer will be blacklisted from Trusted Dealer Net and will no longer be allowed to use its services.

· We agree that unless we adhere to these principles, and provide quality vehicles, that we cannot strive together to reduce our costs and make a fair profit.
